Quokka Hub – Terms of Service

Welcome to Quokka Hub (“Quokka Hub,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) govern your access to and use of our website, dashboards, and related online tools and services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

1. Who We AreQuokka Hub is a U.S. based company providing digital tools and insights that help organizations measure and improve workplace culture and engagement.
Our Services are accessible globally, but your relationship with us is governed by these Terms.

2. Eligibility and Acceptance:
2.1 Age and Capacity - You must be at least 18 years old and capable of entering into a binding agreement.
2.2 Acceptance - By using the Services, you agree to comply with these Terms, including any future updates.
2.3 Business Use - If you are using the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

3. Access and Use of Services:
3.1 License – We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for lawful purposes.
3.2 Restrictions – You agree not to:Use the Services unlawfully or in a manner that harms others;Interfere with or disrupt our systems or networks;Attempt to gain unauthorized access;Reverse engineer, copy, or distribute our software; orUse automated tools (e.g., bots, scrapers) without written consent.
3.3 Modifications – We may update, modify, or discontinue portions of the Services at any time, provided this does not materially harm users’ access without reasonable notice.
3.4 Beta Features – From time to time, Quokka Hub may release new or experimental features (“Beta Features”). Beta Features are provided for evaluation purposes only and may be modified, discontinued, or behave unpredictably. You acknowledge and agree that Beta Features are provided “as is,” without warranties, and may not be supported.
3.5 Availability – We aim to maintain reliable access to the Services but do not guarantee uninterrupted or error-free availability. Scheduled or emergency maintenance may temporarily affect access.

4. Accounts and Security:
4.1 Account Creation - Some features (such as dashboards) may require you to create an account. You agree to provide accurate, up-to-date information.
4.2 Security - You are responsible for safeguarding your login credentials and for all activity on your account. Notify us immediately at support@quokkahub.com
if you suspect unauthorized access.
4.3 Termination - We may suspend or terminate your account if you breach these Terms or misuse the Services.

5. Intellectual Property:
5.1 Ownership - All intellectual property in the Services (including content, design, and software) belongs to Quokka Hub or its licensors.
5.2 User Content - You retain ownership of any content you submit. However, you grant Quokka Hub a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display that content for operational and promotional purposes.
5.3 Feedback - If you provide feedback or suggestions, we may use them freely without obligation to you.
5.4 AI-Generated OutputThe Services may include AI-assisted insights or suggestions. You acknowledge that AI-generated content may not be entirely accurate, complete, or error-free, and should not be relied upon as professional or legal advice.

6. Data Protection and Privacy:
6.1 Compliance - Quokka Hub complies with applicable data protection laws, including the U.S. Privacy Act, UK Data Protection Act, EU GDPR, Canada’s PIPEDA, and Australia’s Privacy Act (APPs).
6.2 Your Data - We collect and process personal data as described in our Privacy Policy
. You may have certain rights under applicable privacy laws (such as access, correction, deletion, or data portability).
6.3 Cross-Border Data Transfers - By using our Services, you consent to the transfer and processing of your data in the United States and other countries where we or our service providers operate, consistent with our Privacy Policy.
6.4 Survey Data – Survey responses collected through Quokka Hub’s tools are processed in aggregated and anonymized form, unless otherwise agreed. You are responsible for ensuring your employees are informed of any data collection under your local regulations.

7. Payments: (if applicable) If Quokka Hub introduces paid features or subscriptions in the future: Fees and payment terms will be clearly communicated before purchase; Payments will be processed securely through approved third-party processors; Fees are non-refundable unless required by law; We may adjust pricing with prior notice.

8. Disclaimers:
8.1 “As-Is” Services - The Services are provided “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.2 Accuracy - Any insights, reports, or analytics from the Services are for informational purposes only. We do not guarantee their accuracy or completeness.
8.3 Third-Party Links - We are not responsible for third-party websites or services linked or integrated with our Services.

9. Limitation of Liability: To the fullest extent permitted by law: Quokka Hub and its affiliates shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities; and Our total cumulative liability shall not exceed the greater of (a) USD $100 or (b) the total amount you paid to Quokka Hub in the twelve (12) months preceding the claim. Nothing in these Terms limits liability for fraud, gross negligence, or other matters that cannot be excluded by law.

10. Indemnification: You agree to defend, indemnify, and hold harmless Quokka Hub, its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses arising from your misuse of the Services or violation of these Terms.

11. Suspension and Termination: We may suspend or terminate your access to the Services at any time, with or without notice, if: You breach these Terms; It is required by law; or Continued use could harm our systems or users. Provisions that logically survive termination (such as intellectual property, disclaimers, and limitation of liability) will remain in effect.

12. Governing Law and Jurisdiction: These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Users outside the U.S. acknowledge and agree that any disputes shall be resolved under Delaware law, though you may also have mandatory rights under your local laws (for example, consumer protection rights in the UK, EU, Canada, or Australia).

13. International Users
13.1 Local Compliance - You are responsible for complying with all local laws and regulations in your jurisdiction when using the Services.
13.2 Consumer Rights - Nothing in these Terms limits your rights under applicable consumer protection laws in your country of residence.

14. Updates to These Terms: We may revise these Terms periodically. If we make material changes, we will update the “Effective Date” and provide reasonable notice (such as via email or site notice). Continued use of the Services after such updates constitutes acceptance of the new Terms.
